Tortious Interference with Contractual Relationships

 Tortious interference with contract claims require proof of ALL of the following: 

  • The existence of a contract subject to interference;

  • An act of interference that was willful and intentional;

  • Proximate cause;

  • Actual damages or loss. 


One who intentionally and improperly interferes with another's prospective contractual relation (except a contract to marry) is subject to liability to the other for the pecuniary harm resulting from loss of the benefits of the relation, whether the interference consists of

  • Inducing or otherwise causing a third person not to enter into or continue the prospective relation or

  • preventing the other from acquiring or continuing the prospective relation.

Negligent Interference with Contract or Prospective Contractual Relation:

One is not liable to another for pecuniary harm not deriving from physical harm to the other, if that harm results from the actor's negligently

  • Causing a third person not to perform a contract with the other, or

  • Interfering with the other's performance of his contract or making the performance more expensive or burdensome, or

  • Interfering with the other's acquiring a contractual relation with a third person.
